PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING OR USING THE SERVICES. BY ACCESSING OR USING ANY OF THE SERVICES, YOU EXPRESSLY AGREE TO BECOME BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO ALL THE TERMS, YOU MAY NOT ACCESS THE WEBSITE OR USE OUR SERVICES.

To use our Services, you must be at least eighteen (18) years of age or the age of majority in your jurisdiction. You represent and warrant that you meet the applicable age requirements.

These Terms of Service (“Terms”) establish a binding contractual agreement between you (the visitor or user, hereinafter referred to as “you” or “your”) and Aiphotography.app ( “Aiphotography”, “our”, “us”, or “we”) according to which you may visit the Aiphotography.app website (“Website”) and use its hosted AI-powered software and applications (the “Services”).

If you are accessing or using our Service on behalf of a company or other entity (an “Organization”), then (a) these Terms are an agreement between us and both you and that Organization; and (b) you represent and warrant that you have the authority to bind that Organization to these Terms.

1. Your Right to Use Our Services

Aiphotography grants you a limited, worldwide, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services for the purpose of generating AI product images for commercial use.

You shall not distribute, hire out, modify, reverse engineer, decompose, disassemble, or otherwise attempt to decipher the source code of the Services. Reproduction that goes beyond what is necessary for the access and use of the Services is not permitted.

2. Your Aiphotography Account

If you create an account on the Website, you are solely responsible for maintaining the security of your account and its content. You are fully responsible for all activities that occur under the account. You must immediately notify Aiphotography of any unauthorized uses or security breaches of your account. We will not be liable for any acts or omissions by you.

3. Restrictions and Acceptable Use

You agree to use the Services for their intended purposes only and not for any prohibited purpose. You shall be responsible for all your activity in connection with the Services and abide by all local, state, national, and international laws and regulations.

You agree not to use the Services or Your Content (defined below) for any purpose that:

  • Violates Intellectual Property: Infringes or misappropriates the proprietary rights, including copyright or trademark, of any third party.
  • Generates Illegal Content: Includes or promotes hate speech, violence, harassment, discrimination, or explicit sexual content.
  • Generates False Advertising: Creates misleading or fraudulent product images intended to deceive consumers.
  • Competitive Use: Reverse engineer, decompile, or use the Services to develop competing AI models, products, or for competitive analysis of our Services.
  • Security Interference: Attempts to interfere with, compromise the system integrity or security of, or decipher any transmissions to or from, the servers running our Services.

4. Ownership of Your Content (Crucial AI Section)

A. Your Ownership

As between us and you, you own all rights, title, and interest in and to the raw product images you upload (Your Content) AND the final generated images you create and download from the Services (Your Generated Content).

B. Our License to Your Content

You grant to Aiphotography a royalty-free, worldwide license to use, copy, store, modify, and reproduce Your Content and Your Generated Content only for the following limited purposes:

  1. To maintain and provide the Services (e.g., storing images, re-generating variations).
  2. Solely in de-identified and aggregated form, to improve our AI models and Services.
  3. If you grant explicit consent, to use as examples in our marketing materials (which you can revoke at any time).

C. Commercial Rights

You affirm and warrant that you own 100% of the commercial rights to use Your Generated Content for marketing, sales, advertising, and all other commercial purposes (e.g., Amazon listings, Shopify, social media). You are solely responsible for the content you upload and generate.

5. Paid Services

Pricing for the Services is located at https://aiphotography.app/pricing (or equivalent). All fees are non-refundable unless otherwise stated in these Terms or required by law.

6. Intellectual Property

The Website and all Services, including the underlying AI models and software, are the intellectual property of Aiphotography. These Terms do not transfer any of our Intellectual Property to you. All rights, title, and interest will remain solely with Aiphotography.

7. Feedback

You may provide us with comments, feedback, or ideas about our Services (“Feedback”). You grant to Aiphotography a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate any Feedback into the Services and Website without any compensation to you.

8. Trademarks

You consent to Aiphotography’s use of your company name and logo (if applicable) in our marketing materials and website to indicate that you are a customer. To decline this license, you must email support@aiphotography.app stating that you do not wish to be used as a reference.

9. Changes and Termination

Aiphotography reserves the right, at its sole discretion, to modify or replace any part of these Terms at any time. We will notify you of material changes. Your continued use of our Services after any such change constitutes your acceptance of the new Terms.

Aiphotography may terminate your access to all or any part of the Services at any time, with or without cause, with or without notice, effective immediately (including for violations of Section 3). If Aiphotography terminates your paid account without cause, we will refund the pro rata apportionment of any unused funds.

10. Disclaimer and Warranties

OUR SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. YOUR USE OF OUR SERVICES IS AT YOUR OWN RISK. WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE AI-GENERATED IMAGES WILL MEET YOUR SPECIFIC EXPECTATIONS OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, OUR SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO US HEREUNDER OR $100.00, WHICHEVER IS LOWER.

12. Indemnification

You agree to indemnify and hold us harmless from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney’s fees) arising from: (a) your access to or use of our Services; (b) your violation of these Terms; (c) your violation of any third-party right, including any right of privacy or intellectual property rights; or (d) Your Content or Your Generated Content, including any claim that your generated images violate any third-party rights.

13. Dispute Resolution and Governing Law

Any dispute between you and Aiphotography will be resolved by binding arbitration pursuant to the rules of the American Arbitration Association Commercial Arbitration Rules. The place of the arbitration shall be in Los Angeles, California.

This Agreement shall be governed by the Federal Arbitration Act and the laws of the State of California without regard to conflict of law principles. You waive the right to participate in a class action lawsuit or class-wide arbitration.
